Barbara represents clients in complex commercial property transactions as well as individual residential property owners in a variety of real estate transactions and disputes. Barbara has experience in handling transactions involving the selection, acquisition, documentation, use, management, leasing, and conveyance of land for a range of clients, including land and building owners, brokers, developers, and investors. She negotiates and drafts documents for commercial and residential real estate leases, purchases and exchanges. She has worked with clients on the purchase and sale of residential property and office buildings, retail properties, industrial properties, mixed-use properties, and vacant land. Barbara has experience in negotiating, reviewing, analyzing and drafting purchase and sale agreements, tenant in common agreements, contract sales, option agreements, and easement agreements and licenses.

Barbara provides general counsel services to common interest developments, including planned communities, condominiums and other residential and commercial properties. Barbara represents over fifty homeowners associations and commercial common interest developments, both large and small. She assists property managers and boards of directors with such issues as drafting, amending and enforcing governing documents, training board members in legal procedures and dispute resolution, and mediating member disputes. Barbara helps boards of directors meet their fiduciary duty to their associations and members by providing legal opinions on the rights and duties of the association and its members. Barbara assists developers with drafting governing documents and other documents required for the Department of Real Estate approval process.

Barbara provides advice and assistance in establishing businesses including corporations, limited liability companies, limited partnerships and general partnerships. She advises clients on a wide range of business issues, from selecting and forming the right entity for the client and the business, to the acquisition of other companies by merger or the sale of assets. Barbara acts as outside general counsel for many companies, advising them with practical solutions to a full range of day-to-day concerns including resolution of problems from employment issues to regulatory considerations, and financing issues. Her client's needs may include a simple consultation on an issue of concern or review or drafting of contracts, or may involve forming a partnership or joint venture, or working on an agreement between shareholders or members of a limited liability company.

Barbara has considerable experience with negotiating and documenting commercial transactions including sales of businesses, equipment purchases and sales, seller financing transactions, promissory notes and security agreements. She has experience in review and analysis on loan documentation, and loan negotiations and work-outs.

In addition, Barbara has experience in drafting, reviewing and analyzing a vast variety of contracts. She assists clients with negotiating and documenting agreements for purchase and sale of real or personal property, independent contractor and employment agreements, liability releases, service agreements and numerous other business and personal agreements.

Barbara’s knowledge of the horses, equestrian disciplines, and horse related businesses allows her to provide equestrians and equine businesses with advice and assistance with the unique problems they encounter. Some of the more common equine law services Barbara provides are review and drafting of liability releases, boarding and breeding contracts; negotiation and documentation of horse sales; and establishment of partnerships and syndications for horse ownership. Barbara advises clients on risk management and liability protection for horse related businesses and helps these clients establish ways to minimize their liability exposure. She also helps clients resolve disputes over sales, boarding or training issues, or partnership dissolutions.
